Associate General Counsel – Atlanta

CARE is seeking an experienced Associate General Counsel – Non-Profit Law/Contracts/Trademark to be the primary attorney providing counsel and legal support to all aspects of CARE’s work relating to resource development, fundraising, non-profit legal issues, tax issues, and related matters.

Job Description:

The Associate GC will interact with the external relations, resource development, and advocacy groups to provide appropriate counseling, contract support, and negotiation. In addition, this Associate GC will be the primary contact in the Legal Department for support of general contracts, including IT contracts, general procurement matters, and similar contracts. This position also oversees work on CARE’s trademarks with the assistance of outside counsel and other staff in the Legal Department. He/she is also expected to handle other matters as the General Counsel determines necessary. The Associate GC will work closely and collaboratively with the members of the Legal Department team to provide coordinated and effective legal services to the organization. The Associate GC will manage relationships with outside law firms in the US and internationally that provide legal services in the areas for which the Associate GC is responsible. It is expected that the management of outside counsel will be proactive, whether the services are paid or pro bono, and the Associate General Counsel will be expected to maintain professional relationships with the outside counsel in order to provide to provide the best legal services to the organization.

Responsibilities:

  1. Provide legal support to the Resource Development, External Relations and Advocacy teams with regard to all legal matters related to these areas of CARE’s activities; review and recommend changes to contracts; work with Foundations Unit, Major Gift Officers, Strategic Partnerships and Alliances, and other individuals engaged in private fundraising; collaborate as needed with other associate general counsel with regard to government grants and contracts; work with outside counsel on these matters as appropriate.
  2. Provide legal support to IT Department and other divisions related to contracts dealing with technology; review contracts; work with business clients to negotiate appropriate terms; counsel business clients on appropriate risk management activities.
  3. Provide legal support on general contracting matters, including matters handled through the procurement department and other divisions within the organization.
  4. Work within the Legal Department to help develop and support colleagues through implementation of initiatives of the General Counsel and Executive Management.
  5. Work with outside counsel to oversee trademark and related IP matters to protect CARE’s marks and other intellectual property; this work is done in connection with support from the paralegal in the department and utilizies a tracking system designed and managed by the outside law firm.

Requirements:

  1. JD from an ABA accredited law school
  2. At least 3 to 5 years of legal experience practicing in the area of non-profit tax law in a large law firm or non-profit organization
  3. Excellent oral and written communication skills
  4. Proficiency in Microsoft Office suite
  5. Negotiation skills and ability to develop collaborative relationships across a multi-country, multi-cultural organization

Desired:

  1. Experience working with a large international NGO
  2. Fluency in French, Spanish or Arabic
